Validity

This proposal is valid for a period of 30 days.

Sale Price

The sale price excludes all applicable taxes or customs duties.

Exchange Rate

Protection At the time of purchase, the quote will be adjusted based on the current exchange rate. For any fluctuation exceeding 10% between the time of the order and the shipping date, Mitral reserves the right to adjust the sale price accordingly.

Material Price Fluctuation

The sale price set at the time of the quote is based on the cost of materials at that time. If the cost of materials at the time of the quote differs from the cost at the time of the order, Mitral reserves the right to adjust the sale price accordingly.

Payment Terms

• End of each month for consulting fees
• Net 30 days for equipment sales

Incoterm

Ex Works (EXW), Val-d’Or, Canada, unless otherwise specified in the quote.

Estimated Delivery Time

Delivery times are estimates and depend on stock availability at the time of the order.

Ownership of Equipment

The equipment is considered the property of the supplier until full payment is received from the client.

Order Modification or Cancellation

Once accepted by the supplier, the order details are considered final and no modification or cancellation will be accepted without written confirmation from the supplier. In the event of an order modification or cancellation, the costs incurred by the supplier, including restocking fees, will be the responsibility of the client.

Installation and Commissioning

The sale price does not include installation or commissioning of the equipment.

Order Acceptance

The supplier and the client confirm that the order reflects the full agreement between both parties.

Applicable Laws

This proposal is subject to the laws of the province of Quebec, Canada. The supplier and the client mutually agree to resolve any disputes under the laws of this jurisdiction.
